SPRINT “POWER VISION HOOKUP” CONTEST OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID OUTSIDE THE 50 UNITED STATES AND D.C. AND WHERE PROHIBITED.

The Sprint “Power Vision Hookup” Contest consists of two components: the Power Vision Chain Competition (herein “Contest”) and the Sprint “Power Vision Hookup” Sweepstakes (herein “Sweepstakes”). The two components will be referred to collectively herein as the “Promotion”. Also, view the official Sweepstakes Rules.

1. ELIGIBILITY: The Contest portion of the Promotion is open only to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older and in possession of a valid e-mail address as of date of entry, and were invited to participate in the Contest portion of the Promotion by a designated representative of Sponsor, or who received a “Contest Phone” (see definition in Rule 2, below) from an eligible participant in accordance with these rules. The Sweepstakes portion of the Promotion is open only to legal residents of the 50 United States and D.C. who are 18 years of age or older. (You may participate in the Sweepstakes portion without participating in the Contest portion.) Employees of Sponsor, its parent company, affiliates, subsidiaries, distributors, sales representatives, retailers, advertising, promotion and judging agencies and members of the immediate families (parent, child, sibling and spouse or “step” of each) or households of any of the above, are not eligible to participate in the Promotion. Contest Phones will be distributed during events in select markets (see Rule 2, below), beginning on or about January 14, 2006. As to each individual Contest Phone and its corresponding “Power Vision Chain” (if any; see definition in Rule 2 below), the Contest begins whenever the official Contest Phone is activated following distribution, and ends fourteen (14) days after the Contest Phone is activated, or *thirty (30) days after event where Contest Phone is distributed, or, on 5/19/06 (the official Contest end date), whichever occurs first. Activation occurs when the first potential Power Vision Chain member with respect to a particular Contest Phone submits his/her e-mail address on that Contest Phone. *NOTE: The Contest Phones will be functional beginning the day of the event and will remain functional for a period of thirty (30) days following the event, after which time the Contest Phone’s service will be terminated and it will no longer function and individuals will no longer be able to enter the Contest. It is possible an individual may receive a Contest Phone after the date the event occurs; in that case, the 30-day period already in progress will expire in accordance with these rules based on the event date and not on when an individual receives the phone. If a Contest Phone is damaged and as a result, becomes inoperable during the promotion period, it will not be replaced and the Power Vision Chain will be limited to the number of members registered (in accordance with these Rules) prior to the time when the damage occurred.

2. HOW TO ENTER THE POWER VISION CHAIN COMPETITION (Contest): Representatives of Sponsor will randomly select individuals in events conducted in each of the following markets beginning on or about 1/14/06 (additional markets may be added; if so, additions will be posted on the Contest website): Austin (TX), Atlanta (GA), Boston (MA), Chicago (IL), Dallas (TX), Denver (CO), Detroit (MI), Houston (TX), Los Angeles (CA), Miami (FL), Minneapolis (MN), New York (NY), New Jersey, Philadelphia (PA), Phoenix (AZ), San Diego (CA), San Francisco (CA), Seattle, (WA), Saint Louis (MO), and Washington D.C./Baltimore (MD). Contest Phones will be distributed at events in the above markets to randomly selected individuals, who will be able to view a demonstration video and sample content on the phone to experience Sprint Power Vision (broadband for wireless phones). After completing the demonstration they will follow the on-screen instructions that appear on the Contest Phone’s screen to enter their e-mail address. After entering their e-mail address and submitting it on the Contest Phone, they will pass the Contest Phone, along with the Official Rules, and the battery charger, on to another eligible (see Section 1 above) individual of their choosing who will complete the process described above, and pass the Contest Phone on to another individual, etc. Such individuals who subsequently register at the Contest website (see below) will create a network (herein “Power Vision Chain”). Note: Data inputted into the Contest Phone, including third-parties’ email addresses and phone numbers (but excluding the user’s own email address submitted in the course of registration) will be stored on the Contest Phone and subsequent users of the Contest Phone will have access to this information. As long as an eligible individual enters his/her email address on a Contest Phone prior to the expiration of the Phone’s 14-day period, or thirty (30) days after event where Contest Phone is distributed, or 5/19/06, whichever occurs first, s/he will receive a return email from the Sponsor allowing him/her to complete the registration process within forty-eight 48 hours of receipt of said e-mail, and thus become a member of a Power Vision Chain. This will apply even if such return email is not received from the Sponsor until after the end of the Phone’s 14-day period, or thirty (30) days after event where Contest Phone is distributed, or 5/19/06, whichever occurs first. If any such individual fails to register in the manner noted below, s/he will not be considered a member of the Power Vision Chain. To register: Sponsor will send an e-mail to the e-mail address that each participant provided on the phone. The e-mail will contain a link to the Contest website where the participant must complete the registration process by providing their name, address, city, state, zip, daytime phone number, age and e-mail. By completing the registration (also referred to herein as an “entry”), the participant will become part of the relevant Power Vision Chain and will gain automatic entry into the Sprint “Power Vision Hookup Sweepstakes” (herein “Sweepstakes”) described in Rule 4, below. If the registration process is not completed, the participant will not be included in the Power Vision Chain and will not receive an automatic entry into the Sweepstakes. There is no limit to the number of Power Vision Chain members, but there will be a maximum of 1,260 prizes awarded to the winning Power Vision Chain. Each Power Vision Chain member must be a different person and must personally complete the entire entry/registration process outlined above. Power Vision Chain members need not reside in the markets described above (or the markets posted on the Contest website if other markets are added) to be eligible, however, they must be in an area in which Sprint Power Vision is available (View Power Vision Coverage in your geographical area.) in order to view demonstration video and submit their e-mail address. Sponsor is not responsible for inability to connect to or access Power Vision for any reason. Sponsor is not responsible for failure by any recipient of a Contest Phone to register as required or to pass the phone and/or battery charger on to others. Sponsor is not responsible for any lost, failed, delayed or interrupted connections or miscommunications, or for other electronic malfunctions, delays, or errors of the Contest Phone, nor are they responsible for any damage sustained by Contest Phone or its user during the Promotion Period. (See Rule 8, below, for further limitations on Sponsor’s liability for problems related to the execution of this Promotion.) CONTEST WINNER/PRIZE: The Power Vision Chain among all participating Power Vision Chains that is determined to have amassed the most eligible, different, fully registered members in accordance with these rules (subject to all applicable registration deadlines expressed in the rules) by 5/19/06 will be deemed the winner of the Contest (subject to verification). Each eligible member of the winning Power Vision Chain (as defined above), up to a maximum of 1,260 members, will receive a Samsung A920 phone and a $150 Sprint Gift Card. If winning Power Vision Chain has more than 1,260 members, a random drawing will be conducted from among all members of the Power Vision Chain to select 1,260 members to receive the available Contest prizes. If such a drawing is necessary, the odds of receiving a prize will depend on the total number of such members in the winning Power Vision Chain. Approximate Retail Value (ARV): $499.99 per prize. Total maximum ARV of Contest Prizes: $629,987.40. Actual total prize value will depend on the number of valid members (as defined herein) in the winning Power Vision Chain. Sprint Gift Card can be used for any Sprint product or service available in any Sprint store, and is subject to all terms and conditions imposed by the issuer. Prizes will be shipped approximately 4-6 weeks after the Contest has concluded and winning Power Vision Chain and all members therein have been verified. Limit: one (1) Contest prize per person. In the event that there is a tie between or among Power Vision Chains for the most eligible, different, fully registered members, the winning Power Vision Chain will be determined in a random drawing conducted from among those Power Vision Chains that are tied for the most eligible Power Vision Chain members. If such a drawing is necessary, the odds of winning will depend on the number of tied Power Vision Chains. No individual person may participate in more than two (2) Power Vision Chains. If any person is determined to have participated in more than two (2) Power Vision Chains, all entries by that person (i.e., Power Vision Chain memberships and Sweepstakes entries) will be disqualified. Sponsor reserves the right to disqualify any entries by persons determined to be tampering with or abusing any aspect of the Contest, as solely determined by Sponsor. Sponsor reserves the right to determine the winning Power Vision Chain based on the criteria stated herein. Any necessary drawing(s) in the Contest will be conducted by Promotion Activators, Inc., (herein “Judges”) an independent judging organization whose decisions are final in all matters related to this Promotion. All Power Vision Chain winners will be notified by e-mail, phone, and/or postal mail and may be required to complete and return an affidavit of eligibility and liability and publicity release (where permitted by law) within fourteen (14) days of receipt of notification. By entering, each entrant agrees to be bound by these Official Rules and the decisions of the Judges.

3. CHARITABLE DONATION BY SPRINT: After completing the registration process online, participants in the Contest, and anyone who demos the phone before its service is terminated, will have the opportunity to vote for one (1) of five (5) specified charities in their market. Follow the on-screen instructions for completing the voting process. Sponsor will donate $5.00 for each completed contest registration, up to $25,000.00, to the charity receiving the most votes in each participating market listed above. A list of the participating charities and further information concerning each can be viewed by going to www.gothookedup.com.

4. HOW TO ENTER THE SPRINT “POWER VISION HOOKUP SWEEPSTAKES (Sweepstakes). The Sweepstakes consists of Daily Prize drawings and a final Grand Prize drawing (as described below). Sweepstakes begins at 12:01 AM (CT) on 1/14/06 and ends at 11:59 PM (CT) on 4/26/06 (herein “Entry Period”). See Rule 5, below, for specific time periods for submitting entries in each daily drawing.
Automatic Entry: Eligible participants in the Contest portion of this Promotion will automatically receive one (1) entry into the Sweepstakes’ daily drawing for the day during the Sweepstakes Entry Period, as defined above, on which they completed the registration process for the Contest. All Contest registrations must be completed by 11:59 PM (CT) on 4/26/06 in order to be entered into the Sweepstakes. Please note: After the fourteen (14) day Contest Period referred to in Rule 2, above, has elapsed, recipients thereafter of the Contest Phone may still gain entry into the daily Sweepstakes until it is shut-off in accordance with these rules or 4/26/06, whichever occurs first, by completing the demonstration and following the on-screen instructions that appear on the Contest Phone’s screen to enter their e-mail address. Sponsor will send e-mail to the e-mail address provided on the phone. The e-mail will contain a link to the Contest website where participant will complete the registration process by providing their name, address, city, state, zip, daytime phone number, age and e-mail. By completing the registration, they will gain entry into the daily Sweepstakes for the drawing to be conducted for the day they registered. (However, unless the registration process is completed within a 48-hour period immediately following the end of the 14-day Contest Period, or thirty (30) days after event where Contest Phone is distributed, or 5/19/06, whichever occurs first, such participants will not be included in an appropriate Power Vision Chain in the Contest portion of this Promotion).
Online Entry: Any eligible person (Contest participants and non-participants alike) may enter the Sweepstakes online by going to www.gothookedup.com, during the Entry Period, providing all required information, and following the onscreen instructions for submitting an entry into the Sweepstakes. All online entries must be received by 11:59 PM (CT) on 4/26/06.
Mail-In Entry: To enter the Sweepstakes by mail, any eligible person may hand-print his/her name, age, complete address, daytime phone number, and date of birth on a 3” X 5” piece of paper, and mail the entry in a #10 business-size envelope to: Sprint “Power Vision Hookup” Sweepstakes, P.O. Box 8540, Prospect Heights, IL 60070. No photocopied, computer generated, or mechanically reproduced entries will be accepted through this entry method. Limit one (1) entry per outside postmarked envelope with sufficient postage. All mail-in entries will be included in the daily drawing for the day they were received during the Entry Period (as further described below). Mail-in entries must be received by 4/26/06 in order to be included in a daily drawing. However, all mail-in entries postmarked by 4/26/06 and received by 5/03/06, although ineligible for inclusion in any daily drawing, will be included in the Grand Prize drawing (subject to a maximum of one such entry per person). All entries become property of Sponsor, and none will be returned or acknowledged except as provided herein. Limit: one (1) entry per person, per 24-hour period, regardless of method of entry, for the Daily Drawings. One (1) eligible entry received per person, regardless of method of entry, will be included in the Grand Prize drawing. Limit one Grand Prize entry per person.

5. DRAWINGS: Daily Drawings: For each day of the Entry Period, one (1) winner will be selected in a random drawing by Promotion Activators, Inc. (herein “Judges”), an independent judging organization, from among all eligible online entries received between 12:01 AM (CT) and 11:59 PM (CT) that day of the Entry Period combined with all mail-in entries and automatic entries received that day of the Entry Period. Daily entries will not “roll over” into subsequent daily drawings. However, one (1) valid, eligible, daily entry received per person will be included in the Grand Prize drawing. Daily Prizes: One Hundred Three (103) Daily prizes will be awarded (one (1) for each day of the Sweepstakes Entry Period). Each prize will consist of one (1) Samsung A920 phone. Approximate Retail Value (ARV): $349.99 per prize. Grand Prize Drawing: One (1) Grand Prize winner will be selected in a random drawing conducted on or about 5/10/06 by Judges from among all eligible Sweepstakes entries received in accordance with these Rules. Any other expenses related to the use of any prize in the Grand Prize package that are not specified herein, including but not limited to license, title, insurance, registration and installation of electronic equipment, are the responsibility of the winner. All entries become property of Sponsor, and none will be returned or acknowledged except as provided herein. Limit one (1) Daily Prize per person. Odds of winning a Daily Prize in the Sweepstakes depend upon the total number of eligible entries received for that 24-hour period (via automatic, online and mail-in methods) in accordance with these rules. Odds of winning the Grand Prize in the Sweepstakes depend upon the total number of eligible automatic and online entries received during the entire Sweepstakes Entry Period, combined with all eligible mail-in entries postmarked by 4/26/06 and received by 5/03/06 in accordance with these rules. Total maximum ARV of all prizes in this Promotion (Sweepstakes and Power Vision Chain Prizes combined): $704,981.37. Actual total ARV of all prizes in this Promotion will depend on the total number of eligible, different members in the winning Power Vision Chain. Daily Prize winners will be notified by e-mail, phone and/or postal mail and may be required to complete an affidavit of eligibility and liability/publicity release (where permitted by law) within fourteen (14) days of receipt of notification or prize may be forfeited and awarded to an alternate winner. The Grand Prize winner will be notified by overnight delivery, and will be required to complete and return an affidavit of eligibility and liability and publicity release (where permitted by law) within fourteen (14) days of receipt of notification or prize may be forfeited in its entirety and awarded to an alternate winner. Return of any prize or prize notification as undeliverable, or failure to return required documents in a timely manner, or failure to comply with these Rules in any way, may result in forfeiture of prize and the selection of an alternate winner.

6. GENERAL PRIZE INFORMATION: Prizes are not assignable and not transferable in whole or in part. No prize substitutions or cash redemptions allowed in whole or in part except as provided herein. Sponsor may substitute a prize of equal or greater value if an advertised prize becomes unavailable. All income taxes on prizes are the winners’ responsibility. If a prize is won by someone who is 18 years of age, but considered a minor in their state of residence, it will be awarded in the minor’ s behalf to a parent or legal guardian who must sign and return any required documents. By accepting prizes, winners (or their parents or legal guardians if winners are 18 years of age but considered minors in their state of residence) consent to the publication of their names, biographical information, and/or likenesses, in commerce and in all media worldwide for any commercial or promotional purpose, without limitation or further compensation, except where prohibited.

7. GENERAL RULES: Judges’ decisions are final in all matters related to the Sweepstakes and Contest. All entries received become property of the Sponsor. If for any reason the Promotion is not capable of running as planned, or if the Promotion or any process associated therewith (or any portion of either) becomes corrupted or does not allow the proper playing of the Promotion and processing of entries per these rules, or if infection by virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in Sponsor’s sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action, and/or to cancel, terminate, modify or suspend this Promotion in whole or in part. In the event that the Promotion is cancelled or terminated prior to the stated end date, the following will apply: a) Sponsor reserves the right to have the judges select the relevant Daily prize winners and the Grand Prize winner for the Sweepstakes in a random drawing from among all eligible, non-suspect, entries received prior to the time of the action or event warranting such cancellation/termination; and b) the winner of the Contest will be the Power Vision Chain with the most eligible, non-suspect members immediately prior to the time of the action or event warranting such cancellation/termination. Proof of entering information on Contest Phone or on Sponsor’s website is not considered proof of delivery or receipt by Sponsor. False and/or deceptive entries or acts of any kind shall render entrants ineligible to receive a prize. Promotion Parties (as defined in Rule 8, below) are not responsible for any typographical or other error in the printing, advertising, or administration of the Promotion or in the announcement of prizes/prize winners.

3. ELIGIBILITY: The Sweepstakes is open only to legal residents of the 50 United States and the District of Columbia. Void elsewhere and where prohibited. You may not enter this Promotion unless you are 18 years of age or older. Employees of Sponsor, its parent company, affiliates, subsidiaries, distributors, sales representatives, retailers, advertising, promotion and judging agencies and members of the immediate families (parent, child, sibling and spouse or “step” of each) or households of any of the above, are not eligible to participate in the Sweepstakes.

4. GENERAL PRIZE INFORMATION: Prizes are not assignable and not transferable in whole or in part. No prize substitutions or cash redemptions allowed in whole or in part except as provided herein. Sponsor may substitute a prize or portion thereof of equal or greater value if an advertised prize or portion thereof becomes unavailable. All income taxes on prizes are the winners’ responsibility. If a prize is won by someone who is 18 years of age, but considered a minor in their state of residence, it will be awarded in the minor’ s behalf to a parent or legal guardian who must sign and return any required documents. By accepting prizes, winners (or their parents or legal guardians if winners are 18 years of age but considered minors in their state of residence) consent to the publication of their names, biographical information, and/or likenesses, in commerce and in all media worldwide for any commercial or promotional purpose, without limitation or further compensation, except where prohibited.

5. GENERAL RULES: Judges’ decisions are final in all matters related to the Sweepstakes. If for any reason the Sweepstakes is not capable of running as planned, or if the Sweepstakes or any process associated therewith (or any portion of either) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries per these rules, or if infection by virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in Sponsor’s sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action, and/or to cancel, terminate, modify or suspend this Sweepstakes in whole or in part. In the event that the Sweepstakes is cancelled or terminated prior to the stated end date, the Sponsor reserves the right to have the judges select the relevant Daily prize winners and the Grand Prize winner for the Sweepstakes in a random drawing from among all eligible, non-suspect, entries received prior to the time of the action or event warranting such cancellation/termination. Proof of entering information on Sponsor’s website or of mailing an entry is not considered proof of delivery or receipt by Sponsor. False and/or deceptive entries or acts of any kind shall render entrants ineligible to receive a prize. Promotion Parties (as defined in Rule 6, below) are not responsible for any typographical or other error in the printing, advertising, or administration of the Sweepstakes or in the announcement of prizes/prize winners.

RELEASE OF LIABILITY: By participating in this Sweepstakes, entrants agree to be bound by the Official Rules and the decisions of the Judges and to release Sponsor, VML Inc., Promotion Activators, Inc., their respective parent companies, affiliates, subsidiaries, representatives, partners and agents, and each of their respective officers, employees, directors and shareholders (“Promotion Parties”) from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with participation in the Sweepstakes, or the downloading or accessing of entry materials, or the acceptance, possession or use/misuse of any prize awarded herein, or travel to or from, or participation in, any prize-related activity (including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light).
